Standard Terms & Conditions

1. Terms and Condition of use for any product or service provided on a monthly software license and are covered by the Datasite End User License Agreement and the level of service provided is detailed in our Service Level Agreement

2. Monthly License Fees commence as soon as you have been given a user name and password to access your product or service online. This confirms the service is now available for use

3. Payment for Monthly License Fees is by standing order or credit card only and must be paid during the month the invoice is issued

4. All Internet based software or services are supplied on the understanding that the user has a stable and reliable internet connection

5. Bespoke development undertaken will require a 50% deposit payment before work can commence and a detailed specification or quotation will be issued prior to work taking place. Any questions concerned requirements must be made at this stage as changes to the specification after work has started could be subject to additional charges

6. Invoices for balances due on Bespoke Development projects will be issued on delivery of the project to the client or webserver. Customers should then test and report any issues within 7 days when the final payment will become due. On going support for bespoke development is not included in the contract price unless specified on the quotation. Support packages for bespoke development can be quoted as a separate item

7. Training and Consultancy Services are supplied for a contracted time period and not for a specific task and are payable in full in advance of delivery.

8. All consultancy services will be provided on a confidential basis and covered by the governing laws of data protection

9. All consultancy, training or site visits booked are subject to a 7-day notice period for cancellation. A 50% cancellation charge may be charged for any visit canceled with less than 7 days notice

10. Our liability is limited to the price of the product or service provided and no additional liability will be accepted for any additional costs arising from the use / misuse of our products or services

11. Any data supplied to you or received from you is subject to the data protection act

12. The source code of our Datasite eBusiness Framework is available to you as an escrow agreement but all customer are responsible for their own legal costs if they wish to subscribe to this agreement. All design work, website data and content remains your copyright and is provided to you as a back up as part of our service level agreement
